Terms of Service
These terms govern your access to and use of the managed.dev service. The Acceptable Use Policy in Section 6 is part of these terms. Please read them carefully.
1. Agreement to terms
These Terms of Service (the “Terms”) are a binding agreement between you and {{ LEGAL ENTITY NAME — e.g. Terrible Studios, LLC }} (“managed.dev”, “we”, “us”), operator of the managed WordPress hosting service at app.managed.dev. By creating an account, starting a trial, or using the service, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a company, you represent that you have authority to bind it.
2. Definitions
- Service — the managed.dev hosting platform, dashboard, APIs, CLI, and related tools.
- Account — your registered account, including any team and member accounts under it.
- Customer Data — the sites, databases, files, content, and configuration you upload, create, or host through the service.
- Plan — the subscription tier you select, with its associated limits and price.
- Branch environment — an isolated environment created from a git branch, as described on our site.
3. Accounts & eligibility
You must be at least 18 (or the age of majority where you live) and able to form a binding contract. You are responsible for your account, for keeping your credentials secure, and for all activity under your account, including your team members. Provide accurate information and keep it current. Notify us promptly at abuse@managed.dev of any unauthorized use.
4. Plans, trials & billing
- Free trial. The Starter plan may be started with a 14-day free trial. Unless you cancel before it ends, it converts to a paid Starter plan and billing begins. The Developer, Business, and Agency plans are billed from the start. Trials are for evaluation and are provided “as is”.
- Fees & billing. Paid plans are billed in advance on a recurring monthly basis through our payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method.
- Auto-renewal. Subscriptions renew automatically each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current period.
- Price changes. We may change prices. We will give reasonable advance notice, and changes take effect at your next renewal.
- Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes on our income.

- Fair use. Plan limits (sites, branch environments, storage) are described on our pricing page. Higher tiers marked “fair-use” are intended for normal agency/portfolio use, not unlimited resale or abuse; we may contact you about unusual consumption.
5. Your responsibilities
- You are responsible for your Customer Data, for having the rights to use and host it, and for its lawful use.
- You are responsible for the security of your own application code, WordPress configuration, plugins, and themes, and for keeping your users’ access appropriate.
- You must comply with the licenses of any software you run (WordPress core is licensed under the GPL; plugins and themes have their own licenses).
- While we provide snapshots and backups, you are responsible for maintaining your own copies of anything you cannot afford to lose.
- You must comply with the Acceptable Use Policy.
6. Acceptable Use Policy
This Acceptable Use Policy (“AUP”) is part of these Terms and applies to all use of the service. We may update it as threats and the law evolve.
6.1 Prohibited content
You may not host, store, transmit, or link to content that:
- is illegal, or facilitates illegal activity, under any applicable law;
- infringes intellectual property or other rights of others;
- is, or contains, child sexual abuse material (CSAM) — we report such material to authorities and terminate immediately, with zero tolerance;
- is malware, ransomware, exploits, phishing pages, or is designed to harvest credentials or harm others;
- is fraudulent, deceptive, or promotes illegal schemes; or
- is defamatory, harassing, or incites violence or unlawful discrimination.
6.2 Prohibited conduct
- Spam & unsolicited messaging — sending bulk unsolicited email or operating mail services that violate anti-spam laws.
- Security violations — accessing systems or data without authorization, probing or breaching security, or circumventing limits, quotas, or isolation between environments.
- Network abuse — denial-of-service attacks, port scanning, spoofing, or interfering with any user or network.
- Resource abuse — using the service for cryptocurrency mining, as a proxy/VPN/anonymizer, for bulk media warehousing unrelated to your sites, or in a way that degrades the platform for others.
- Resale — reselling or sublicensing the service except as expressly permitted by your plan.
- Circumvention — attempting to reverse engineer, disrupt, or gain unauthorized access to the service or its infrastructure.
6.3 Enforcement
If we believe your use violates this AUP or risks harm to the platform, other customers, or third parties, we may remove content, throttle or suspend affected sites or environments, or — for serious or repeated violations, or where required by law — suspend or terminate your account. Where practical and lawful, we will give notice and an opportunity to cure; for severe issues (for example CSAM, active attacks, or legal orders) we may act immediately.
6.4 Reporting abuse
Report suspected abuse of the service to abuse@managed.dev.
7. Copyright & DMCA
We respond to valid notices of alleged copyright infringement. Send notices to our designated agent at dmca@managed.dev: {{ DMCA DESIGNATED AGENT — name, address, registration }}. Notices must include the information required by applicable law (identification of the work, the material, your contact details, a good-faith statement, and a statement under penalty of perjury). We may remove or disable content and terminate repeat infringers. You may submit a counter-notice where appropriate.
8. Intellectual property
We and our licensors own the service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the service per these Terms. You keep all rights to your Customer Data. You grant us only the rights needed to host, process, back up, secure, and display it to operate the service for you. If you send us feedback, you grant us a perpetual, royalty-free license to use it to improve the service.
9. Service availability
We work to keep the service available and performant. Our target uptime is {{ SLA % — e.g. 99.9% }}. {{ link a separate SLA, or state whether the SLA is contractual and its remedies (e.g. service credits) }} Planned maintenance, factors outside our control, and free trials are excluded from any availability commitment. The service may change over time.
10. Suspension & termination
You may cancel at any time from your account. We may suspend or terminate your access for non-payment, for violation of these Terms or the AUP, to comply with law, or to protect the service or others. On termination, your right to use the service ends. We will make your Customer Data available for export for {{ POST-TERMINATION DATA EXPORT WINDOW — e.g. 14 days }} after termination, after which it may be permanently deleted. Provisions that by their nature should survive (for example fees owed, IP, disclaimers, liability limits, and indemnities) survive termination.
11. Disclaimers
Except as expressly stated, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or fully secure. {{ confirm consumer-law carve-outs for your jurisdiction }}
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service is limited to {{ LIABILITY CAP — e.g. fees paid in the prior 12 months }}. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Indemnification
You will defend, indemnify, and hold us harmless from claims, damages, and expenses arising out of your Customer Data, your use of the service, or your violation of these Terms or the rights of others, except to the extent caused by us.
14. Confidentiality
Each party may access the other’s confidential information in connection with the service. The receiving party will protect it with reasonable care and use it only to perform under these Terms, excluding information that is public, independently developed, or rightfully received from a third party.
15. Changes
We may update these Terms. We will post the updated version with a new “Last updated” date and, for material changes, give reasonable notice. Continued use after changes take effect means you accept them.
16. Governing law & disputes
These Terms are governed by the laws of {{ GOVERNING LAW — state / country }}, without regard to conflict-of-laws rules. Disputes will be resolved in {{ COURTS / VENUE }}, by {{ DISPUTE RESOLUTION — arbitration body + rules, or "the courts named above" }}. Nothing here limits any non-waivable rights you have under the mandatory law of your home country.
17. General
- Entire agreement. These Terms, the Privacy Policy, the AUP, and any order or DPA form the entire agreement between us.
- Severability. If any provision is unenforceable, the rest remains in effect.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may give notice by email or through the dashboard; you may contact us as set out below.
- No waiver. Failure to enforce a provision is not a waiver of it.
